General Terms and Conditions of Sale

1SWISS1 SA (including Helvira) Version v2.0

Provider identity

1SWISS1 SA, Rue du Nant 8, 1207 Geneva, Switzerland – Tél. +41 (0) 58 255 58 88 – www.1swiss1.com, portal.1swiss1.com, helvira.ai.

The present GTC apply to any sale of IT services, cloud solutions, hosting, domain registration, cybersecurity, and Helvira AI services (SaaS, API, integrations).

Scope and acceptance

B2B relations only. Any order (signed quote, accepted purchase order, activation via the Client Portal) or use of a service constitutes unreserved acceptance of these GTC. Specific Conditions (quote/SOW, SLA, DPA) may supplement/depart; they prevail in case of conflict.

Definitions (excerpt)

  • Managed services: outsourcing, monitoring, security, maintenance.
  • Helvira services: AI features (assistant, generation/summary, classification, automations, API/SDK), as described on the Helvira commercial pages and quotes.
  • Model / Model provider: LLM/embedding hosted by 1SWISS1 or third parties (e.g. cloud/AI providers).
  • Prompt / Output: Client input / AI-generated content.
  • Client Portal: management area (tickets, billing, domains, products). portal.1swiss1.com

Services offered and scope

The exact scope is set out in the quote/SOW: Cybersecurity, IT Consulting, Managed Services, IT Management, IT Support, Development, Outsourcing and Solutions (Cloud, Microsoft 365/Entra, VoIP, Backup & Recovery, Remote Work, Email Security).

Helvira covers AI services focused on sovereignty (positioning), with API and integration options according to the product sheet/quote.

Quote, validity and order

Quotes are valid for 30 days (unless otherwise stated). The order arises upon signature (electronic accepted), Portal acceptance, or start of services requested by the Client. Change requests (CR) give rise to an amendment (adjusted price/timelines).

Client Portal, support & communication

The Client uses the Portal to submit/track tickets, manage services & domains, consult the KB/announcements/network status and make payments. Critical incidents follow the agreed SLA priorities.

Prices, currencies, taxes and revisions

Prices in CHF (by default), excl. VAT; VAT/taxes additional. Quotes possible in EUR/USD. 1SWISS1 may pass through third-party supplier increases (cloud/AI licences, domains, security, hosting) with reasonable notice.

Invoicing, payment & collection

  • Subscriptions/managed & AI: monthly/annual billing in advance.
  • T&M: monthly billing based on time spent (min. 15 min) + costs.
  • Fixed price: milestones (e.g. 40/40/20).

Due date: 21 calendar days (D+21).

Late payment: default interest (5% p.a.) + reasonable reminder fees.

Reminders & suspension (from invoice date):
  • D+45: 1st reminder (email + Portal)
  • D+60: 2nd reminder / formal notice
  • D+67: suspension/cut-off of services (≥ 1 month overdue vs D+21)

Reactivation: full payment + any fees/deposit. 1SWISS1 may limit Portal access during suspension (except for billing/payment).

Travel, expenses & equipment

Travel/accommodation/tooling expenses re-invoiced at cost (or cost + handling). Third-party hardware/software: payable in advance.

Third-party services/subscriptions

The Client accepts the conditions of suppliers (EULA, AUP, policies). Effects, renewals, cancellations and price increases are aligned with these suppliers; amounts committed are non-refundable. 1SWISS1 acts as reseller/agent; liability limited to applicable warranties.

(cloud, M365/Entra, domains, EDR, SSL…)

Domain names, hosting & email

Registration/transfer, DNS/WHOIS, mail-hosting, web/VPS/dedicated, backup, SSL via the Portal. The Client remains the domain holder and responsible for content and compliance (registries/registrars). In case of non-renewal/insolvency, expiration and restoration fees possible. Unless otherwise specified by SLA, best-effort hosting. The backups offered do not exempt the Client from their own backup/RPO/RTO strategy.

Security, backups & DRP

Best-efforts obligation: measures in line with the state of the art within the scope of the quote/SLA. The Client remains responsible for their backups, access management and user awareness.

Helvira specifics (AI services)

• AI Outputs & reliability

Outputs may contain errors, biases or hallucinations. The Client maintains an appropriate human review and remains solely responsible for the use of the Outputs (in particular business decisions, sector-specific compliance).

• High-risk uses

Prohibited without written agreement: medical devices, critical safety, automated financial/legal recommendations, individual scoring with significant legal effect, or any case requiring specific regulatory validation.

• Data & Training

Unless expressly stated:

  • 1SWISS1 does not use Client data to train general models;
  • technical logs/metadata may be processed for support/security/billing;
  • any dedicated fine-tuning is the subject of an amendment/DPA.
• Location & residency

Hosting/deployment (Switzerland/EU/third parties) depends on the service and is set out in the quote/Portal. Helvira's positioning emphasises sovereignty; this does not in itself constitute a regulatory guarantee, which the Client must validate for their use case.

• Model/third-party providers

Helvira may rely on third-party (or open-source) LLMs/embeddings; 1SWISS1 may modify these components to ensure quality, security and compliance, without altering the purpose of the service.

• Fair use limits

Quotas, throughput, calls/minute, prompt/token sizes, content type and automation restrictions may apply to protect the platform.

• API & integrations

Keys/API are personal; the Client prevents abuse/unauthorised sharing; 1SWISS1 may rotate keys in case of incident. Integrations (M365, ITSM, SIEM, etc.) require adequate Client authorisations.

• Rights to Outputs

Subject to payment and compliance with the GTC, 1SWISS1 grants the Client a non-exclusive licence to use the Outputs; pre-existing elements (models, system prompts, tools, know-how) remain the property of their holders. The Client warrants having the rights to their Prompts/Data.

• Compliance & ethics

The Client undertakes to use the services in compliance (FADP/GDPR if applicable, intellectual property, illegal content, non-discrimination). 1SWISS1 may suspend a service in case of manifest abuse, official injunction or serious risk.

Development & integrations (fixed-price / T&M)

Specifications, deliverables and acceptance criteria in the SOW. Changes: estimation/amendment. Corrective warranty 30 days on imputable anomalies (excluding non-compliant evolutions/data/environment).

Intellectual property

1SWISS1's pre-existing elements (frameworks, scripts, models, system prompts, connectors) remain its property. Subject to full payment, the Client receives a licence to use the deliverables. A transfer may be contractually provided for. The Client warrants the rights and legality of their data/content.

Client obligations

Provide access/information, validate within reasonable deadlines, ensure environment compatibility, comply with third-party licences/policies, protect credentials (Portal, API, cloud tenants), pay invoices on the due date. Delays/breaches may impact timelines and costs.

Confidentiality & data protection

Mutual confidentiality undertaking. The processing of personal data is governed by the Privacy Policy and, where applicable, a DPA (Controller/Processor roles under FADP and, if applicable, GDPR). Location/retention details in the quote/SLA.

Subcontracting

1SWISS1 may entrust execution to specialised subcontractors (data centres, registrars, publishers, AI providers) and remains liable to the Client.

Warranties & exclusions

Unless expressly stated, services provided "as is" with a best-efforts obligation. Excluded: uses contrary to recommendations, unsupported environments, force majeure, supplier outages, cyber-attacks of exceptional scale, unvalidated third-party integrations, third-party modifications, handling errors or Client backup failure.

Limitation of liability

1SWISS1's total liability capped at the higher of: (i) fees paid for the service in question over the last 12 months, or (ii) CHF 50,000. Excluded: loss of profit, data, business, indirect/consequential damages, to the extent permitted by Swiss law. No exclusion in case of wilful misconduct/gross negligence.

Force majeure

In particular: major Internet outages, large-scale power cuts, disasters, wars/riots, general strikes, pandemics, acts of authority, major unavailability of cloud providers/registries/LLM providers, attacks of abnormal scale.

Duration, renewal & termination

  • Subscriptions (managed, cloud, AI, licences): duration/renewal according to the quote/Portal; failing that, 30 days' notice before expiry.
  • Projects: end at acceptance and full payment.
  • Termination for breach: possible after a formal notice that has remained unsuccessful (15 days).

At the end of the contract, reversibility (export) assistance at T&M; deletion of residual data within the usual period (e.g. 30 days), except for legal obligations.

Non-solicitation

Prohibition on directly hiring/working with any 1SWISS1 employee who has worked for the Client, during the contract and 12 months after. Compensation: 6 months of gross remuneration of the profile concerned.

References

Unless objected to in writing, 1SWISS1 may cite the name, logo and nature of the Client's services.

Notifications & evidence

Notifications valid in writing (including electronic). Portal logs are conclusive (orders, tickets, payments). portal.1swiss1.com

Assignment

Assignment/interdependence subject to written agreement from 1SWISS1. 1SWISS1 may assign to any entity in its group or successor.

Applicable law & jurisdiction

Swiss law. Exclusive jurisdiction: Geneva (Switzerland).

Entry into force & updates

Version v2.0 1 June 2025. 1SWISS1 may update the GTC; the version in force is published online. Changes apply to renewals or new orders.
